These Terms of Service ("Terms") are entered into by and between you ("you" and "your") and WKND eBikes ("Company," "we," or "us"), the trade name of East & 3rd LLC, a Georgia limited liability company. The following Terms govern your access to and use of WKNDBikes.com, including any content, functionality, and services offered on or through WKNDBikes.com (the "Website"), whether as a guest or a registered user.

Please read these Terms carefully before using the Website. By using the Website, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you must not access or use the Website.

Use of the Website & Eligibility

We grant you a non-exclusive right to access and use the Website and its content solely for your personal, non-commercial use. You agree to use the Website only for lawful purposes and in compliance with all applicable laws and regulations.

You may not use the Website if you:

• Do not agree to these Terms
• Are under 16 years of age, or under the legal age to form a binding contract in your jurisdiction
• Are prohibited from accessing the Website by applicable law

If you are the parent or legal guardian of a minor who you permit to use the Website, you accept full responsibility for the minor's use and compliance with these Terms.

• Impersonate WKND eBikes, an employee, or any other person or entity

The Website and all of its contents, including but not limited to text, images, graphics, video, audio, logos, and software, are owned by WKND eBikes or its licensors and are protected by United States and international intellectual property laws.

These Terms permit you to use the Website for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, or transmit any content from the Website without our prior written consent.

The WKND eBikes name, logo, and all related product and service names, designs, and slogans are trademarks of WKND eBikes. You may not use such marks without our prior written permission.

Product Information & Pricing

We make every effort to display accurate product information on the Website. However, we do not guarantee the accuracy or completeness of any product descriptions, pricing, specifications, or availability. We reserve the right to correct errors, inaccuracies, or omissions and to update information at any time without prior notice, including after an order has been submitted.

Product availability is not guaranteed. If a product is unavailable after your order is placed, we will notify you promptly.

We reserve the right to change any component, part, or specification of our eBikes, or to change component manufacturers with equivalent or improved performance, without notice. Such changes do not constitute grounds for returning a product.

Order Acceptance & Cancellation

By placing an order on the Website, you are making an offer to purchase subject to these Terms. All orders are subject to our acceptance. We reserve the right to refuse or cancel any order at our sole discretion, including but not limited to orders where pricing errors have occurred or where product availability changes after the order is submitted.

Pricing & Payment

All prices are displayed in U.S. dollars and are subject to change without notice. The price charged will be the price in effect at the time your order is placed. Posted prices do not include applicable taxes or shipping charges, which will be itemized at checkout.

You represent and warrant that any payment information you provide is accurate and that you are authorized to use the payment method provided. We are not responsible for pricing errors and reserve the right to cancel orders resulting from such errors.

Shipping & Delivery

We ship to addresses within the United States only. We do not ship outside the United States at this time. Due to carrier regulations regarding lithium-ion batteries, we cannot ship eBikes or eBike batteries outside the continental United States.

Shipping costs, processing times, and estimated delivery windows are provided at checkout and may vary. Title to products and risk of loss transfer to you upon delivery to the shipping carrier. We are not responsible for loss, theft, or damage caused by the shipping carrier after the product has been tendered for delivery.

Performance Disclaimer

Listed range, top speed, and performance specifications for WKND eBikes are estimates only and are not guarantees of performance. Actual performance will vary based on rider weight, cargo, terrain, tire pressure, weather conditions, battery charge level, assist level, and other factors. Under certain conditions, actual range and speed may differ materially from listed estimates.

Rider Safety & Responsibility

Riding an eBike carries inherent risks, including the risk of serious injury or death. You are solely responsible for riding safely, wearing appropriate safety gear including a helmet, and complying with all applicable laws and regulations governing eBike use in your jurisdiction, including but not limited to registration, licensing, and insurance requirements.

WKND eBikes strongly recommends that before your first ride, you have a qualified bicycle mechanic inspect your bike to ensure all components are properly secured and adjusted. We make no guarantee that any component will be perfectly adjusted upon arrival. Before every ride, fully inspect your bicycle to ensure everything is secured and in proper working order.

Limitation of Liability

Indemnification

You agree to defend, indemnify, and hold harmless WKND eBikes and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Website, your violation of these Terms, your violation of any applicable law, or any bodily injury or property damage caused by your actions.

The Website may contain links to third-party websites. These links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them. Your use of third-party websites is subject to their respective terms and conditions.

Force Majeure

We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, fire, flood, pandemic, government action, labor disputes, supply chain disruptions, or failure of third-party service providers.

Section 18

Dispute Resolution & Governing Law

These Terms and any dispute arising out of or related to them or your use of the Website or purchase of products shall be governed by the laws of the State of Georgia, without regard to its conflict of laws provisions.

Informal Resolution

Before initiating any arbitration or legal proceeding, you agree to first contact us at hello@wkndbikes.com and provide a written description of the dispute, the relief sought, and your contact information. You and WKND eBikes agree to attempt to resolve the dispute informally for a period of thirty (30) days from the date notice is received. If the dispute is not resolved within that period, either party may proceed to arbitration as set forth below.

Binding Arbitration

Except as provided below, you and WKND eBikes agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Website, or the purchase of any product from WKND eBikes — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory — shall be resolved exclusively through final and binding arbitration, rather than in court.

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, except as modified by these Terms. The AAA Rules are available at adr.org. The arbitration shall be conducted in Atlanta, Georgia, or, at your election, by telephone or video conference. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement. The arbitrator may award any relief that a court of competent jurisdiction could award, including injunctive or declaratory relief, and any award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

Opt-Out Right

You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to hello@wkndbikes.com within thirty (30) days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor WKND eBikes will be bound by the arbitration agreement, but all other provisions of these Terms will remain in full force and effect.

Governing Law and Jurisdiction

To the extent any claim or dispute is not subject to arbitration under these Terms, you and WKND eBikes agree to submit to the exclusive personal jurisdiction and venue of the state and federal courts located in Fulton County, Georgia. You waive any objection to the laying of venue of any such proceeding in Fulton County, Georgia, and waive any objection that such courts are an inconvenient forum.

Time Limitation on Claims

Any claim or cause of action arising out of or related to these Terms, your use of the Website, or any product purchased from WKND eBikes must be commenced within one (1) year after the cause of action accrues. Any claim not brought within that period is permanently barred. This limitation does not apply where prohibited by applicable law.

Severability

If any portion of this Section 18 is found to be unenforceable, except for the Class Action Waiver, the unenforceable portion shall be severed and the remaining arbitration terms shall be enforced to the fullest extent permitted by law. If the Class Action Waiver is found unenforceable, the entire arbitration agreement in this Section shall be null and void.

Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Revised" date at the top of this page. Your continued use of the Website after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

Section 20

Termination

We reserve the right to terminate or suspend your access to the Website at any time, with or without notice, for any reason, including violation of these Terms. We shall not be liable for any loss or damage arising from such termination.

These Terms constitute the entire agreement between you and WKND eBikes with respect to your use of the Website and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
